PAYMENT & TRANSACTION CLAUSE (CANADA & U.S.)

1. Payment Processing

All payment transactions are subject to third-party payment processors and acquiring institutions.

2. Regulatory Compliance

Transactions are governed by:

• Payments Canada rules

• Applicable U.S. payment network regulations

• Card network rules (Visa, Mastercard, etc.)

Clients agree to comply with all applicable frameworks.

3. Settlement & Adjustments

Settlement amounts may be adjusted due to:

• Chargebacks

• Refunds

• Processing fees

• Compliance-related adjustments

4. Pre-Authorized Debits (PAD)

Where applicable, clients authorize debits in accordance with applicable banking and payments regulations.

5. Offsets & Reversals

Transactions may be reversed, withheld, or offset in cases of:

• Fraud

• Errors

• Disputes

• Regulatory requirements

6. Liability

The Company is not responsible for:

• Bank decisions

• Processor actions

• Payment delays

• Transaction disputes
