TERMS & CONDITIONS

1. Introduction

These Terms and Conditions (“Terms”) govern the use of services provided by Growth Point (“Company”, “we”, “us”, or “our”). By engaging our services, you (“Client”, “Merchant”, or “you”) agree to be bound by these Terms.

2. Services

Growth Point provides integrated business solutions including, but not limited to:

  • Point-of-sale (POS) systems and merchant onboarding support

  • Payment solution integrations through third-party providers

  • Digital marketing, branding, and advertising services

  • Website, mobile app, and software development

  • E-commerce integrations and automation tools

All services are subject to availability, scope, and agreement between the Company and the Client.

3. Third-Party Payment Processing

Payment processing services are provided by third-party financial institutions and acquiring partners. Growth Point is not a bank, payment processor, or financial institution.

All merchants are subject to:

  • Underwriting approval

  • Processor-specific terms and conditions

  • Card network rules (Visa, Mastercard, etc.)

The Company does not guarantee approval, pricing, or processing outcomes.

4. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information during onboarding

  • Maintain lawful business operations

  • Comply with all applicable laws and regulations

  • Follow all processor, card network, and compliance requirements

  • Maintain clear refund, return, and customer service policies

5. Acceptable Use

Clients shall not:

  • Engage in fraudulent or deceptive practices

  • Process transactions on behalf of other businesses without authorization

  • Misrepresent goods, services, or business operations

  • Use systems for unlawful or restricted activities

  • Attempt to bypass transaction monitoring or risk controls

The Company reserves the right to suspend or terminate services for violations.

6. Payment Terms

A minimum deposit is required prior to the commencement of services. Remaining balances are due as per agreed project milestones or invoices.

Failure to make timely payments may result in suspension or termination of services.

7. Intellectual Property

All intellectual property created by the Company remains the property of the Company until full payment is received. Upon full payment, ownership of deliverables may be transferred to the Client, excluding proprietary tools, frameworks, or pre-existing assets.

8. Limitation of Liability

Growth Point shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue, profits, or business opportunities.

The Company is not responsible for:

  • Processor decisions

  • Transaction failures

  • Chargebacks

  • System outages beyond its control

9. Termination

The Company reserves the right to suspend or terminate services at any time due to:

  • Non-payment

  • Policy violations

  • Regulatory or compliance concerns

  • Fraud or misuse of services

10. Governing Law

These Terms shall be governed by the laws of the Province of Alberta and applicable federal laws of Canada.
